MEDIONE HEALTHCARE MERCHANT TERMS AND CONDITIONS ("TERMS")

These Terms form an integral part of the Merchant Enrolment process for Medione Healthcare ("Form") and constitute a legally binding agreement made between you, whether personally or on behalf of an entity (the "Merchant"), and Medione Healthcare, a partnership firm having its registered office at 71/6, 1st Floor, Rama Road Industrial Area, New Delhi – 110015, including its affiliates (collectively, "Medione"), regarding the use of the Medione Platform (as defined below) for the purchase of Goods (as defined below) by the Merchant from Medione

1. Definitions

• Commencement Date: means the date on which the Merchant receives a confirmation from Medione upon successful completion of the sign-up process on the Medione Platform or the date of execution of the Form, whichever is earlier.
• Credit Facility: means the option availed by the Merchant to place Order(s) on a credit basis during the Credit Period.
• Credit Limit: means the maximum amount that the Merchant is permitted to keep as outstanding during the Credit Period which may be revised by Medione at its sole discretion without any prior intimation. This Credit Limit shall be communicated by Medione to the Merchant in writing from time to time.
• Credit Period: means the period as communicated by Medione to the Merchant, within which the Merchant shall clear all its outstanding dues.
• Goods: shall mean pharmaceutical products, surgical items, and other healthcare-related products available on the Medione Platform. (Medione does not deal in perishable goods such as fresh produce, dairy, frozen food, etc.)
• Medione Platform: means the online technology platform owned by Medione, including the website medionepharma.com, and associated ordering channels like WhatsApp, phone, or email where the Goods are displayed and the Merchant can place Order(s).
• Logistics Partner: means Medione’s own delivery team and/or third-party logistics service providers who deliver the Goods to the Merchant.
• Merchant: means the entity/individual being a registered pharmacy, hospital, clinic, or other licensed institution as mentioned in the Form.
• Order(s): means an order placed by the Merchant with Medione for the purchase of Goods via the Medione Platform.
• Parties: means Medione and the Merchant.
• Price: means the selling price of the Goods as indicated on the Medione Platform and/or communicated by Medione to the Merchant at the time of placing Order(s) and/or as intimated by Medione to the Merchant from time to time.
• Services: means the services offered by Medione to the Merchant through the Medione Platform.
• Website: means medionepharma.com (including webpages contained or hyperlinked therein and owned or controlled by Medione), and such other media, devices, mobile applications, software, or technologies as Medione may choose from time to time.

2. General Understanding

Medione will list and display the Goods and the Prices on the Medione Platform. The Merchant, upon signing up on the Medione Platform, may use the Platform to browse, select, and place Order(s).
Once the Order is placed, Medione will indicate the tentative delivery time on the Medione Platform and provide the Merchant with the functionality to check delivery status.

3. Quality Standards; Compliance with Applicable Law

• Medione will supply the Goods based on the description and specification of the Order(s).
• Parties shall comply with all applicable laws including the Drugs and Cosmetics Act, 1940.
• Medione is not liable for manufacturing-related aspects of the Goods; such liability rests with the third-party manufacturer. Medione may facilitate connecting the Merchant with the manufacturer.
• Medione does not accept any cash deposits into its bank account. Any such deposits made shall be at the Merchant’s sole risk.

4. Term and Termination

• The arrangement commences on the Commencement Date and continues indefinitely unless terminated
• Either Party may terminate by giving seven (7) days’ written notice.
• Medione may suspend/terminate immediately in cases of:
• Two consecutive payment defaults;
• Insolvency/bankruptcy events;
• Fraudulent/suspicious activity;
• Breach of applicable laws or these Terms.
• Termination shall not affect accrued rights or payment obligations.

5. Pricing and Quality of Goods

• Pricing: Goods will be sold at Prices displayed at the time of placing the Order. Medione may revise Prices prior to Order placement.
• Quality: Merchant must check Goods at delivery for quality, quantity, batch number, expiry date, and packaging. No claims shall be entertained after acceptance.
• Goods must be stored per manufacturer guidelines.
• Reverse pickup requests must be raised within seven (7) days of delivery, along with a new Order, subject to Medione’s prevailing return policy.

6. Delivery and Merchant Obligations

• Delivery Timelines: Orders will be delivered within the agreed time-slot/date range, with possible variation due to logistical factors.
• Merchant Obligations:
  o Make timely payment of invoices.
  o Accept deliveries without undue delay.
  o Provide accurate details (address, contact, GSTIN, drug license).
  o Cancellations are not guaranteed once an Order is confirmed.
  o Medione will attempt delivery once; repeated failure to accept may impact future Orders. (⚠️ No monetary penalty clause included.)

7. Invoice and Payments

• Accepted payment methods: Bank transfer, UPI, and Cash-on-Delivery (COD). (No wallet facility).
• Merchants availing the Credit Facility agree that:
  o Invoices must be cleared within the Credit Period.
  o Overdue attracts 18% per annum interest until payment is cleared.
  o Medione may request Undated Cheques (UDCs) and/or bank guarantees as security.
  
• Medione may share PAN/GSTIN for credit evaluation.
• TCS u/s 206C(1H) applies where applicable; Merchant must reconcile using certificates issued by Medione. Discrepancies must be reported within 15 days.

8. Effect of Termination

On termination, all pending invoices must be cleared within seven (7) days. Overdue interest at 18% p.a. will apply.

9. Intellectual Property Rights

Medione exclusively owns all content, copyrights, trademarks, and IP associated with the Medione Platform. Nothing grants the Merchant a license to use Medione IP without written consent.

10. Confidentiality

Both Parties shall maintain strict confidentiality of all business, operational, and commercial information shared during the term of these Terms.

11. Disclaimers and Liability

• Disclaimers: Medione disclaims all warranties, express or implied, in relation to the Medione Platform and Goods.
• Indemnity: Merchant shall indemnify Medione against claims, losses, or damages arising from breach or misuse.
• Limitation of Liability: Neither Party is liable for indirect or consequential damages. Medione’s liability shall not exceed the value of the disputed Order.

12. General Provisions

• Notices: o To Medione: Grievance Officer, Medione Healthcare, 71/6, 1st Floor, Rama Road Industrial Area, New Delhi – 110015. Email: info@medionepharma.com. o To Merchant: To the email/address provided in the Form.
• Governing Law: Indian law applies. Courts of New Delhi have exclusive jurisdiction.
• Modification: Medione may amend these Terms from time to time. Updates will be posted on the Medione Platform and take effect immediately.
• Entire Agreement: These Terms and the Form constitute the complete agreement.
• Independent Contractors: Medione and Merchant act on a principal-to-principal basis.
• Privacy Policy: By signing the Form, Merchant accepts Medione’s Privacy Policy as available on the Website.
• Third-Party Loans: If Merchant avails any loan/credit facility from a third-party lender, Medione is not responsible for repayment.
